Proposed Amendment to the VRCA Bylaws

 The current and original set of bylaws which govern the activities of the Valley Ridge Community Association has been in place since the fall of 1996.  Many changes have occurred in the past decade as the community continues to grow and mature.  Over the past 2 years, the Board of Directors has revised the 1996 Bylaws, in order that the rules and regulations are more completely reflective of today’s community and Board structure.  The community voted in favour of these amendments at last year’s SGM, however the revised Bylaws were rejected by the Province for a variety of reasons.  These reasons have been addressed in the newest revision of the community association’s bylaws.  We will be asking the membership to again vote in favour of these amendments as the new bylaws will more accurately reflect the community.

 Due to space constraints, the revisions cannot be detailed here.  We can only highlight modifications, and direct you to our website, where both the original Bylaws and the revised Bylaws can be found in PDF format.  Many changes are simply typographical or grammatical.  Others are more substantive and include changes to the Community’s Objects (goals reflective of Valley Ridge) based on the results of the VRCA Board's strategic planning exercise in 2003 and 2005.  In addition to this, we have:

 

  • removed the Community’s Mission and Vision statement as it is no longer permitted as part of the Bylaws;
  • clarified Bylaw definitions in Article 2.  We have revised the list arrangement to better reflect a logical progression of the definitions;
  • clarified the number of days required for notification of upcoming community general meetings;
  • clarified Member definitions and rights in Article 4.  We have more clearly defined a Full or Voting Member and an Associate or Honorary Member and their respective rights;
  • clarified and modified the rules governing Annual or Special General Meetings in Article 5.  These modifications include, but are not limited to, the definition of quorum;
  • clarified and modified the positions of the Board of Directors in Article 6.  This includes the composition (increased to 12 Director positions; some renamed; some eliminated) and an organized election rotation of the Board;
  • clarified and modified the mechanism by which a Director may be removed from the Board prior to the end of his or her term in Article 6.  The Province required a more detailed description of the process;
  • clarified and modified the duties of the Board and its Officers and any sub-committees in Article 6.  These changes reflect the new Board composition and provide the Board greater flexibility in dealing with the challenges facing Valley Ridge today and into the future; and
  • clarified and modified the rules governing Financial Matters of the VRCA in Article 7.  These rules provide continued accountability and responsibility to the Community.

 

At the Community’s Annual General Meeting on April 7, 2008 at the Valley Ridge Golf Club, a Special Resolution will be presented to the members of the VRCA asking you to approve the replacement of the original 1996 Bylaws document with the amended Bylaws, and the original Objects with revised Objects.  It is critical that residents have an informed position on this vote.  We encourage you compare and contrast the two sets of documents.
